Welcome to VYRELLE.

VYRELLE is operated by Sanati Collectives LLC. Throughout these Terms of Service, the terms “VYRELLE,” “we,” “us,” and “our” refer to Sanati Collectives LLC and the VYRELLE brand.

VYRELLE operates this website and online store, including the information, content, features, tools, products, and services made available through it (collectively, the “Services”). Our online store is powered by Shopify, which provides the ecommerce platform that enables us to offer the Services to you.

These Terms of Service (“Terms”) describe your rights and responsibilities when accessing or using the Services.

Please read these Terms carefully. They contain important information concerning your legal rights, including provisions relating to warranties, limitations of liability, and dispute resolution.

By visiting, accessing, interacting with, or purchasing through the Services, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, you should not access or use the Services.

Skincare Information

Information provided through the Services concerning skincare, ingredients, routines, or product use is provided for general informational purposes only.

VYRELLE products are cosmetic products unless expressly stated otherwise. They are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

Individual experiences with skincare products may vary. Customers should review ingredient lists and product instructions before use and discontinue use if irritation occurs.

Nothing on the Services should be considered medical advice. If you have a medical condition, significant skin concern, known allergy, or other health-related question, consult an appropriate healthcare professional.

SECTION 3 — ORDERS

Submitting an order constitutes an offer to purchase products from VYRELLE.

We reserve the right to accept, reject, limit, or cancel an order where permitted by law, including in cases involving suspected fraud, pricing or inventory errors, payment issues, fulfillment limitations, or violations of these Terms.

An order is not considered accepted until payment has been successfully processed and the order has been accepted for fulfillment.

Please review your order carefully before submitting it. Because orders may enter fulfillment quickly, we cannot guarantee that an order can be changed or canceled after submission.

If we cancel or materially modify an order, we will attempt to notify you using the contact information provided when the order was placed.

Purchases are subject to our Refund Policy, which is incorporated into these Terms by reference and is available through our website.

Products purchased through VYRELLE are intended for personal or household use unless otherwise agreed in writing. You may not purchase products for unauthorized commercial resale.

SECTION 4 — PRICES, PAYMENT, AND BILLING

Prices, promotions, discounts, and offers may change without notice.

The price charged for a product will generally be the price shown at checkout when the order is submitted, subject to correction of obvious pricing or technical errors as permitted by law.

Unless otherwise stated, displayed product prices do not include applicable taxes or shipping charges.

Applicable shipping charges and taxes will be displayed during checkout before you complete your purchase.

You agree to provide current, complete, and accurate billing and payment information.

By submitting payment information, you represent that you are authorized to use the selected payment method.

We may use third-party payment processors to process payments. Your use of those payment services may also be subject to the applicable provider's terms and policies.

SECTION 5 — SHIPPING AND DELIVERY

Orders are shipped according to our Shipping Policy, which is incorporated into these Terms by reference and is available through our website.

Delivery dates and transit times displayed through the Services are estimates unless expressly stated otherwise.

Actual delivery times may be affected by carrier operations, weather, holidays, fulfillment volume, incorrect addresses, or other circumstances outside our reasonable control.

We will comply with applicable laws concerning shipment delays, cancellations, refunds, and customer notifications.

Customers are responsible for providing a complete and accurate shipping address.

If an order cannot be delivered because an incorrect or incomplete address was provided, additional shipping charges may apply before the order can be reshipped.

Risk of loss and ownership of purchased products transfer in accordance with applicable law.

If an order appears to be lost, damaged, defective, or incorrect, please contact us as described in our Shipping Policy and Refund Policy.

SECTION 6 — RETURNS, REFUNDS, AND REPLACEMENTS

Returns, refunds, replacements, cancellations, damaged-product claims, and lost-package claims are governed by our Refund Policy.

Because VYRELLE sells skincare and personal-care products, opened or used products may be ineligible for return based solely on change of mind or personal preference, as described in our Refund Policy.

Nothing in these Terms or our Refund Policy limits any refund, replacement, warranty, or other consumer right that cannot legally be waived or restricted.

SECTION 7 — INTELLECTUAL PROPERTY

The Services and their content, including VYRELLE branding, trademarks, logos, product names, packaging designs, photographs, graphics, videos, text, website designs, and other materials, are owned by or licensed to VYRELLE and are protected by applicable intellectual property laws.

These Terms permit you to access and use the Services for personal, non-commercial purposes.

Without prior written authorization, you may not reproduce, distribute, copy, modify, publish, display, sell, license, create derivative works from, or commercially exploit protected material from the Services except as permitted by applicable law.

“VYRELLE,” our logos, product names, slogans, designs, and related branding may constitute trademarks or other protected intellectual property of VYRELLE or its licensors.

Nothing in these Terms grants you ownership of or a license to VYRELLE intellectual property except for the limited right to access and use the Services in accordance with these Terms.

Shopify's name, logos, products, and related marks belong to Shopify or its licensors.

SECTION 8 — OPTIONAL AND THIRD-PARTY TOOLS

The Services may provide access to tools, applications, payment services, analytics services, social-media integrations, or functionality supplied by third parties.

We may not control these third-party services.

Your use of third-party tools may be governed by separate terms and privacy policies provided by those third parties.

To the fullest extent permitted by law, VYRELLE is not responsible for third-party services that are not under our control.

You should review applicable third-party terms before using those services.

We do not control and are not responsible for the content, security, accuracy, availability, policies, products, or practices of independent third-party websites.

Questions or complaints relating to products or services purchased directly from a third party should be directed to that third party.

SECTION 10 — RELATIONSHIP WITH SHOPIFY

VYRELLE is powered by Shopify, which provides technology that enables us to operate our online store.

However, purchases made through the VYRELLE store are transactions directly between you and VYRELLE.

Shopify is not the seller of VYRELLE products and is not responsible for VYRELLE's products, fulfillment decisions, product claims, customer service, or other obligations relating to your purchase from VYRELLE.

To the extent permitted by applicable law, Shopify and its affiliates are not responsible for claims arising solely from transactions between you and VYRELLE.

SECTION 11 — PRIVACY

Our collection and use of personal information is governed by our Privacy Policy, which is available through our website and incorporated into these Terms by reference.

Because the Services are hosted through Shopify, Shopify may process certain personal information in connection with your use of the Services.

Other service providers may also process information when necessary to provide payment processing, fulfillment, analytics, customer support, marketing, fraud prevention, or other business services.

SECTION 12 — REVIEWS, FEEDBACK, AND USER CONTENT

If you voluntarily submit reviews, photographs, comments, ideas, suggestions, testimonials, feedback, or other content to VYRELLE (“User Content”), you retain any ownership rights you otherwise have in that content.

However, by submitting User Content, you grant VYRELLE a non-exclusive, worldwide, royalty-free, transferable and sublicensable license to use, reproduce, modify, display, distribute, publish, and otherwise use that content in connection with operating, improving, and marketing VYRELLE and the Services.

You represent that you own or have permission to provide the User Content and that its use by VYRELLE will not violate another person's rights.

If you received compensation, free products, discounts, or another incentive in connection with a review or endorsement, you must disclose that relationship when required by law.

You may not submit unlawful, threatening, defamatory, infringing, deceptive, obscene, malicious, or otherwise prohibited content.

We reserve the right, but not the obligation, to moderate or remove User Content where permitted by law.

From time to time, information available through the Services may contain typographical errors, omissions, technical errors, or inaccuracies concerning product descriptions, pricing, promotions, shipping charges, transit times, product availability, or other information.

If an order is canceled after payment due to an error, we will provide any refund required by applicable law.

Termination does not eliminate obligations incurred before termination, including amounts properly owed for completed purchases.

Provisions that by their nature should survive termination will remain effective, including provisions concerning intellectual property, user content, liability, indemnification, governing law, and other accrued rights and obligations.

SECTION 16 — DISCLAIMER OF WEBSITE AND SERVICE WARRANTIES

We make reasonable efforts to maintain accurate, secure, and available Services, but we do not guarantee that the website or Services will always operate without interruption, delay, error, or technical problems.

To the fullest extent permitted by applicable law, the website, digital features, and informational portions of the Services are provided on an “as available” basis.

  • an express warranty or promise that VYRELLE has specifically made to you;

  • an implied warranty that cannot lawfully be excluded;

  • rights concerning defective or unsafe consumer products;

  • rights arising under applicable consumer-protection law; or

  • any other right or remedy that cannot legally be waived or limited.

SECTION 17 — LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, VYRELLE and its officers, employees, affiliates, agents, contractors, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, or consequential damages arising from your use of the Services where such damages may lawfully be excluded.

Nothing in these Terms excludes, restricts, or limits liability to the extent such liability cannot legally be excluded, restricted, or limited.

In particular, nothing in these Terms is intended to exclude or limit liability arising from:

  • personal injury or property damage to the extent liability cannot legally be limited;

  • defective or unsafe products to the extent protected by applicable law;

  • fraud or fraudulent misrepresentation;

  • gross negligence or willful misconduct; or

  • rights and remedies provided by applicable consumer-protection statutes.

Any limitation in this section applies only to the maximum extent permitted by applicable law.

SECTION 18 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless VYRELLE, Sanati Collectives LLC, and our affiliates, officers, employees, agents, contractors, licensors, and service providers from third-party claims, damages, liabilities, losses, and reasonable expenses arising from:

  1. your material violation of these Terms;

  2. your unlawful use of the Services;

  3. your violation of another person's intellectual property or other legal rights; or

  4. User Content submitted by you that violates these Terms or applicable law.

This indemnification obligation does not apply to losses caused by VYRELLE to the extent responsibility cannot legally be shifted to you.

SECTION 19 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or, where necessary, severed from these Terms.

The remaining provisions will continue in full force and effect.

SECTION 20 — WAIVER AND ENTIRE AGREEMENT

Our failure to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, and other policies expressly incorporated by reference, constitute the agreement governing your use of the Services.

Nothing in this provision limits rights that cannot lawfully be waived.

SECTION 21 — ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without our prior written consent, except where applicable law gives you a non-waivable right to do so.

We may assign or transfer our rights and obligations in connection with a merger, acquisition, sale of assets, corporate reorganization, or other lawful business transfer.

These Terms and any dispute arising from or relating to the Services or purchases from VYRELLE will be governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, except to the extent federal law or another applicable law requires otherwise.

Any legal proceeding arising from these Terms may be brought in a state or federal court having lawful jurisdiction in the Commonwealth of Virginia, subject to any mandatory consumer-protection, jurisdiction, or venue rights that apply to you.

Nothing in this section deprives a consumer of protections that cannot legally be waived under applicable law.

SECTION 23 — CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to our Services, business practices, legal obligations, or other circumstances.

The current version will be posted on this page with an updated effective date.

Where required by applicable law, we will provide additional notice of material changes.

Changes will not apply retroactively where doing so is prohibited by law.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
